These Terms of Service ("Terms") are a legal agreement between SPIDERS TECH SRL ("SPIDERS TECH", "we", "us") and you. By accessing and using our games, content, activities and services (the "Service") via our website, social networking websites, or any mobile versions thereof, you agree to be bound by these Terms whether or not you are a registered member. Your use of the Site and Service are also governed by our Privacy Policy, incorporated herein by reference.
Subject to your compliance with these Terms, you may use the Services solely for your own non-commercial entertainment purposes. You may not: use bots or automation software; disrupt the Services or other players' experience; upload malicious files; exploit the Services commercially; promote illegal activity; or reverse engineer any part of the Services.
Personal data may be disclosed in accordance with applicable legislation and our Privacy Policy. SPIDERS TECH may hire agents and contractors to process personal data on its behalf — such parties will be instructed to use personal data only for the purposes for which they were engaged. SPIDERS TECH may disclose personal data to third parties as required by law enforcement, or to address potential injury or interference with SPIDERS TECH's rights, property or operations.
By accessing and using the Services, you agree not to: publish harmful, abusive, sexually explicit, defamatory, or otherwise offensive content; make threats; disrupt other users' experience; promote illegal drug use; infringe intellectual property rights; collect others' personal data in an automated manner; use the Services for fraudulent transactions; or violate any applicable laws. SPIDERS TECH reserves the right to take action including termination of your account. The Code of Conduct may be modified at any time.
The Services may provide communication channels such as forums, communities, or chat areas. SPIDERS TECH is under no obligation to monitor these channels but reserves the right to review and remove materials at any time without notice. You will be solely responsible for your activities within the Communication Channels.
If Services require you to open an account, you must provide current, complete and accurate information. You are responsible for maintaining confidentiality of your account information and for all activities that occur under it. You must notify us immediately of any unauthorized use. Unless otherwise stated, you may not use our Services if you are under 18 years of age (or under the applicable minimum age in your jurisdiction). Your account is personal to you and may not be transferred.
ALL PURCHASES AND PAYMENTS IN THE SERVICE ARE STRICTLY VOLUNTARY AND NON-BINDING.
The Service does not offer an opportunity to win real money, prizes or anything of value. Virtual Items — including virtual currency, in-game items, and certain in-game benefits — have no monetary or material value and cannot be refunded or exchanged for cash. SPIDERS TECH retains the right to manage, modify, or discontinue Virtual Items without notice. All sales of Virtual Items are final.
All Content, including accounts, characters, and Virtual Items, are the sole and exclusive property of SPIDERS TECH. You agree to assign to SPIDERS TECH all right, title and interest in any Content you create within the Service. SPIDERS TECH has the right to edit, refuse to post, or remove any Content deemed objectionable in its sole discretion.
SPIDERS TECH reserves the right to suspend, terminate, modify, or delete your account with or without prior notice at any time for any reason, including violation of these Terms. You will not be compensated for any Virtual Items upon termination.
If you believe your work is subject to copyright infringement on the Service, please submit a DMCA notice to: support@s-tech.pm including: identification of the copyrighted work; identification of the infringing material; your contact information; a statement of good faith belief; a statement of accuracy under penalty of perjury; and your signature.
Any dispute arising out of or relating to these Terms shall be finally resolved by binding individual arbitration under the Rules of the American Arbitration Association (AAA). The parties agree to arbitrate solely on an individual basis. For claims of $10,000 or less, arbitration shall be conducted by telephone or online. If the claim exceeds $10,000, hearings must take place in New York State. SPIDERS TECH will pay all fees unique to the arbitration process. You agree that any claims must be brought against SPIDERS TECH only in your individual capacity and not as a plaintiff or class member in any class, representative, or collective action.
If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident in.
The Service is provided "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. SPIDERS TECH expressly disclaims all warranties, whether express, implied, statutory or otherwise. SPIDERS TECH provides no warranty that the Service will meet your requirements, be error-free, or operate without interruption.
For US residents: these Terms are governed by the laws of New York State. For residents of other countries: these Terms are governed by the laws of the British Virgin Islands.
You are subject to all laws of the state(s) and countries in which you reside and from which you access the Service. If your use of the Service would result in violation of applicable laws, you must immediately cease use, cancel any accounts, and uninstall any related software.
We do not allow use of our Service in the following regions: Federated States of Micronesia, Marshall Islands, Afghanistan, Bahrain, Brunei Darussalam, China, Indonesia, Maldives, Pakistan, Qatar, Syria, Algeria, Libya, Mauritania, Somalia, Sudan, British Virgin Islands, Cuba, or North Korea.
SPIDERS TECH expressly prohibits any sales, transfers, assignments, gifts, trades or sublicenses of Virtual Items, whether for money, goods or any other exchange. Any such transfer is prohibited and void, and may result in account termination, a lifetime ban, and legal action.
SPIDERS TECH AND ITS LICENSORS WILL NOT BE LIABLE IN ANY WAY FOR DAMAGE OR LOSS OF ANY KIND RESULTING FROM THE USE OF OR INABILITY TO USE THE SERVICES, LOSS OR DAMAGE TO CHARACTERS OR ACCOUNTS, OR INTERRUPTIONS OF SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPIDERS TECH'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE PAST 6 MONTHS.
Any claim or cause of action arising out of or related to use of the Service must be filed within SIX (6) MONTHS after such claim arose, and is thereafter permanently barred.
You agree to defend, indemnify, and hold SPIDERS TECH harmless from and against any claim, liability, loss, injury, damage, cost, or expense arising out of or from your access and use of the Services, your violation of these Terms or any Content posted or provided by you.
Your sole and exclusive remedy for any problems or dissatisfaction with the Service is: (a) to discontinue use of the Service, (b) to cancel any accounts, and (c) to uninstall any related software.
The failure of SPIDERS TECH to enforce any right or provision of these Terms will not be deemed a waiver. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
SPIDERS TECH reserves the right to revise or modify these Terms at any time. When changes are made, the date at the beginning of these Terms will be updated. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
